These Terms apply to services supplied by PRYSM AI TECHNOLOGIES LTD, RC 9444284, Nigeria. They explain the real limits of VowLock and ShmuelOps and preserve the consumer rights that Nigerian law does not allow a supplier to remove.
1. Agreement and legal capacity
By buying, activating or using a PRYSM product, you agree to the part of these Terms that applies to that product. If you use ShmuelOps for a business, you confirm that you are authorised to bind that business. If you install VowLock on a device, you confirm that you own the device or are authorised to control it.
You must have legal capacity to enter the relevant agreement. A parent or guardian must act for a person who lacks that capacity. Nothing in these Terms permits a parent, employer, partner or other person to control someone else's device, account or communications without lawful authority.
The company landing page is informational. It does not revive the former PrysmAI developer platform or promise that a product marked in development is generally available.
2. VowLock
What VowLock does
VowLock blocks selected trading platforms, explicit content and X/Twitter on an enrolled phone or computer for a period chosen by the user. The boundary applies to that enrolled device. It cannot prevent access through another device or guarantee that every new domain, application or route will be recognised immediately.
Installation authority and preparation
Install VowLock only on a device you own or are authorised to control. Read the on-screen warning for the particular platform and mode before activation. Back up important files, photographs, messages, authentication codes and device settings first. Some strong mobile setup and removal paths erase the device.
Commitment period and when it begins
Buying or receiving an activation key does not begin the commitment. The selected period begins when the VowLock service successfully activates and issues the signed commitment for the device. The commitment record states its start and end time. Current paid terms are one calendar month or one calendar year; a supervised-iPhone commitment that blocks ordinary early removal currently supports one month. The available choice shown before activation controls where a platform has a narrower limit.
VowLock does not automatically renew. A later commitment requires a new, deliberate purchase or activation.
Removal modes
Early removal allowed means the operating system keeps an ordinary way to stop, revoke or uninstall the protection before the selected period ends. No device erase is intended to be required.
Ordinary early removal blocked means normal pause, uninstall and settings-based escape routes are removed or restricted for the active period. It does not mean removal is physically impossible. Recovery tools, erasing or factory-resetting the device, reinstalling or flashing the operating system, firmware replacement, or equivalent administrator or recovery action can remain an ultimate removal path and can destroy local data.
PRYSM will not shorten or issue an early release for a working fixed commitment merely because the user changes their mind. That design choice does not remove a customer's rights where the service is defective, unavailable, wrongly charged, materially misdescribed or not delivered.
Compatibility and platform limits
VowLock is pre-release software. The current project includes builds for supported macOS systems, Android temporary and Device Owner modes, Windows 10/11, and limited iPhone/iPad paths. Features and removal strength differ by platform. Some supervised iPhone preparation is Mac-assisted and requires erasing the phone; individually authorised iPhone controls remain revocable under Apple's platform rules. Strong Android mode requires Device Owner provisioning during initial or factory-reset setup. Windows and desktop modes require the administrative permissions described during installation.
Use only a build and operating-system version identified as supported on the current VowLock download or setup page. An operating-system, browser, device-management, app-store, security-product or other third-party change can weaken, interrupt or break a control. We may issue compatibility updates, but cannot promise continued support for every device or third-party change.
Not treatment, advice or a guarantee
VowLock is a software commitment tool. It is not medical or mental health treatment, financial or investment advice, debt counselling or an emergency service. It does not diagnose a condition and does not guarantee that a person will stop any behaviour. Seek qualified help where the situation requires it.
VowLock prices, payment and refunds
The price, currency, platform and period displayed at checkout form part of the purchase. Flutterwave processes checkout and PRYSM verifies the payment reference before issuing a paid entitlement. A working commitment that has already started is a time-bound digital service; a change of mind alone does not entitle the user to an early release or refund for the part properly supplied.
That rule is not a blanket no-refund clause:
- a failed payment that did not complete must not be treated as a successful charge;
- a verified duplicate or incorrect charge is eligible for correction and refund;
- where a paid activation key or service was not delivered, we will deliver it within a reasonable time or provide the remedy required by law;
- where VowLock is defective or materially different from its description, the customer may be entitled to repair, replacement, re-performance, price reduction, refund or another statutory remedy depending on the circumstances; and
- no provision excludes a right or remedy that cannot lawfully be excluded under Nigerian consumer law.
Send a refund or delivery complaint to info@prysmai.io with the payment reference, purchase email, affected platform and a concise description of what happened. Do not send card details or banking passwords.
3. ShmuelOps
What it does
ShmuelOps is a controlled pilot for businesses that answer customers and manage orders through WhatsApp. It uses business-approved product, price, stock, payment and delivery information to draft or send routine replies, record orders and place uncertain or consequential matters in front of a person.
Accounts and account security
An owner or operator signs in using a verification code sent to the registered email address. Keep the email account, active sessions, connected WhatsApp line and devices secure. Use individual accounts; do not share verification codes or session access. Tell us promptly if an account or connected line may be compromised.
The business is responsible for its team members, their permissions, and activity performed through its account, except to the extent the activity resulted from PRYSM's own breach of duty.
Business information must be accurate
The business must provide and maintain accurate product names, prices, stock, policies, payment instructions, delivery information and rules for escalation. It must correct stale information and review generated setup drafts before relying on them. AI replies can be incomplete, outdated or wrong even when the source information is correct.
Human responsibility
The owner or an authorised operator must confirm payments, resolve unusual or disputed cases, review material customer commitments and take over a chat when human judgment is required. A receipt, screenshot or customer statement is not by itself proof that money arrived. Do not use ShmuelOps as the sole decision-maker for credit, employment, health, legal rights or another decision with a similarly serious effect on a person.
Customer privacy and lawful use
The business is the controller of its customer information. It must have a lawful basis for connecting the line and using customer messages, provide any required privacy notice, honour customer rights, and instruct PRYSM lawfully. The business gives PRYSM permission to process its customer content only as needed to provide and secure ShmuelOps and meet applicable law.
The business and its users must not:
- send spam, harassment, threats or deceptive messages;
- use ShmuelOps for fraud, illegal sales or unlawful discrimination;
- upload banking passwords, card details, banking login information, identity documents or unrelated customer chat histories;
- connect or monitor a WhatsApp account without the account holder's authority;
- hide from a customer that they are dealing with an automated system where disclosure is required or needed to avoid deception; or
- use generated content without the review appropriate to its risk.
WhatsApp and pilot limits
ShmuelOps depends on WhatsApp and, for the current controlled pilot, a linked-device runtime. Meta or WhatsApp can change access, pricing, customer-service windows, technical behaviour or platform rules, and can restrict a line. PRYSM does not control those services and cannot promise uninterrupted access to them.
Pilot and pre-release functions can change, be limited to admitted businesses, pause for maintenance or stop. Media handling and runtime capacity are not designed for broad, unlimited deployment. We will not present a pilot feature as generally available when it is not.
ShmuelOps prices and billing
ShmuelOps has no automatically renewing subscription at present. If PRYSM offers a paid pilot feature, custom assistant name or future subscription, the price, duration and billing basis shown before checkout apply. A label such as monthly or yearly describes the selected service period; it does not authorise PRYSM to charge again automatically unless the customer separately and expressly agrees to recurring billing.
Customer purchases handled in a WhatsApp conversation are transactions between the ShmuelOps business and its customer. ShmuelOps can share the business's approved bank-transfer instructions and record a payment-review status, but PRYSM does not receive the customer's money or become the seller of the business's goods.
4. Acceptable use across PRYSM services
You must not use a PRYSM service to:
- break the law or another person's rights;
- gain unauthorised access to a device, account, repository, line or data;
- interfere with the service, bypass access or rate controls, spread malware, probe production systems without permission or overload infrastructure;
- misrepresent your authority, payment status, identity or connection to PRYSM; or
- copy, sell or exploit the software except as these Terms or a written agreement permits.
5. Intellectual property and customer content
PRYSM and its licensors own the software, product names, visual identity, documentation and other service materials, excluding customer content. We give the user a limited, non-exclusive, non-transferable and revocable right to use the relevant service for its intended purpose during the applicable access or commitment period. This is a licence, not a sale of the software.
The business or person supplying content keeps their rights in it and confirms they have permission to use it. They give PRYSM the limited permission needed to host, transmit, format, analyse and otherwise process that content to provide, secure and support the chosen service. This permission ends when the content is deleted, except for copies we must retain for security, disputes, backups or law as described in the Privacy Policy.
6. Third-party services
PRYSM products rely on services such as hosting, databases, payment checkout, email, AI inference, operating-system controls and WhatsApp. Their own terms can apply to your direct use of them. PRYSM remains responsible for its own obligations and for choosing and instructing its processors, but is not responsible for a third party's independent service, account decision or platform change outside PRYSM's control.
7. Availability, maintenance and changes
We aim to operate each offered service with reasonable care, but do not promise uninterrupted or error-free availability. We can perform maintenance, make security changes, retire a pre-release feature or change compatibility. Where a material change affects a paid service, we will give reasonable notice where practicable and provide any remedy required by law.
We can update these Terms for a product, legal or security change. The updated date will change. A change will not retrospectively remove a right already accrued or alter an active paid commitment to the customer's material detriment without a lawful basis.
8. Suspension and termination
We may restrict or suspend an account, ShmuelOps line or other online access where reasonably necessary to investigate unsafe, abusive, fraudulent or unlawful use; protect customers or infrastructure; comply with law; address non-payment; or respond to a material breach of these Terms. Where it is safe and lawful, we will explain the reason and give an opportunity to correct a remediable issue.
A business may stop using ShmuelOps and request account closure. The effect on content and records is described in the Privacy Policy. An account closure or online-service suspension does not create an early release from an already activated, valid VowLock commitment; VowLock release remains governed by the signed period and the customer's non-waivable rights.
9. Service standards and warranty limits
We will provide paid services with the care, quality and fitness for purpose required by applicable law and the specific description given before purchase. Pre-release status and disclosed compatibility limits are part of that description; they do not excuse a materially misdescribed or undelivered service.
Subject to those statutory duties, we do not promise that VowLock will block every possible route, that ShmuelOps or an AI output will always be correct, or that a third-party platform will remain available. The user remains responsible for backups, authorised installation, review of consequential communications and decisions that these Terms reserve to a person.
10. Liability
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, negligence where the law does not permit a limitation, defective performance where a statutory remedy cannot be excluded, or any other non-waivable consumer right or liability.
Where the law permits a limit, PRYSM is responsible for loss that is a reasonably foreseeable result of our breach of these Terms or failure to use reasonable care. PRYSM is not responsible for loss caused by an unauthorised installation, ignored backup or compatibility warning, inaccurate business information, a customer's or business's unlawful instruction, or an independent third-party event that reasonable care could not prevent.
For a business claim that the law permits us to limit, PRYSM's total liability arising from the affected service will not exceed the amount the business paid PRYSM for that service during the twelve months before the event giving rise to the claim. This cap does not apply to the liabilities and consumer rights that the first paragraph preserves. Neither party is liable to the other for a remote or purely indirect business loss that was not reasonably foreseeable when the agreement was made.
11. Complaints and disputes
Email info@prysmai.io with the service, account or payment reference, the problem and the remedy you seek. We will acknowledge and investigate the complaint, request only the information needed to verify it, and explain the outcome. This internal process does not stop a consumer from contacting the Federal Competition and Consumer Protection Commission or exercising another legal right.
These Terms are governed by Nigerian law. The parties should first try in good faith to resolve a dispute directly. If that fails, a party may use the Nigerian courts or another forum available under applicable consumer law. We do not require a consumer to give up a statutory complaint or court right as a condition of using the service.
